These Terms of Service (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Zora Labs, Inc. ("Company", “we”, “us”, or “our”, and together with “you”, the “Parties” and each individually, a “Party”), concerning your access to and use of the zora.co, create.zora.co, and futuretape.xyz websites as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Services”). The Services allow you to leverage public blockchain networks to discover, explore, and create NFTs (defined below), to build communities around your NFT projects, and to connect with others on a peer-to-peer basis to buy, sell, and transfer NFTs.

ACCEPTANCE AND ELIGIBILITY

You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Services and you must discontinue use immediately.

You are not permitted to access the Services if you engage in any activity in violation of regulations administered by the US Foreign Asset Control or any other relevant sanctions authorities. This includes if you: (a) are or are acting on behalf of any other person who is (or if you are an entity, you are owned or controlled by any other person who is), identified on any list of prohibited parties, including the U.S. Treasury Department’s Specially Designated Nationals list and Foreign Sanctions Evaders list; or (b) are located, ordinarily resident, organized, established, or domiciled in a jurisdiction that is subject to a comprehensive U.S. embargo.

You must not use any software or networking techniques, including use of a Virtual Private Network (VPN) to modify your internet protocol address or otherwise circumvent or attempt to circumvent this prohibition.

You must be at least 18 years of age to use the Services. If you are under 18 but at least 13 years old, you may only use the Services through a parent or guardian’s account and with their approval and oversight.

The information provided on the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

TERMS UPDATES

Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the “Last updated” date of these Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms by your continued use of the Services after the date such revised Terms are posted.

ACCESSING THE SERVICES

Anyone can browse the Services and view Content (defined below) without connecting to the Services. In order to access certain functionality, however, you must connect a Digital Wallet (“Wallet”) such as MetaMask, to the Services. When you connect your Wallet to the Services, you will create a username and can add additional information to your profile. Your Wallet address and username may be publicly displayed on the Services when you connect your Wallet. For additional information about your account and profile data, please see our Privacy Policy.

Non-Custodial - By connecting a Wallet to the Services, you agree to abide by the terms and conditions of the applicable Wallet provider. We do not provide a Wallet service and do not at any time have custody, possession, or control over your NFTs, digital assets, or any other contents in your Wallet. You are solely responsible for maintaining the security of your Wallet, including your credentials, private key, and/or seed phrase. We are in no way liable for any acts or omissions by you in connection with your Wallet or as a result of your Wallet being compromised.

MINTING, BIDDING AND ACCEPTING BIDS

The Services include the ability to interact with a set of smart contracts on the Ethereum blockchain known as the Zora Protocol. The Zora Protocol enables anyone to mint a non-fungible ERC-721 token that represents a unique piece of media (an “NFT”), by embedding both a cryptographic hash of the media and a resource locator for the media into the token, and enables users to place bids on such tokens, and enables the creator of such tokens to choose to accept or decline to accept bids to purchase such tokens and upon payment by the successful bidder transfers ownership of the the token. Our creator toolkit, available at create.zora.co (the “Creator Toolkit”), also allows anyone to create and launch an NFT collection using the Zora Protocol.

The Zora Protocol is an open source protocol which is accessible by anyone. Each token minted on the Zora Protocol exists on the Ethereum blockchain as a cryptographic token that cannot be copied or replicated, and can only be controlled by the person who holds the Ethereum private key that corresponds to the token’s Ethereum address.

You accept and acknowledge that there are risks associated with holding or using the token and using the Ethereum network, including but not limited to, the risk of losing access to your Ethereum address due to loss of private keys, seed words or other credentials, or an unauthorized third party gaining access to same, and the risk of unknown vulnerabilities in the the token smart contract code or the Ethereum network protocol. You agree to take all reasonable steps to protect your wallet credentials including passwords, pin codes, access to your devices for SMS or multi-factor authentication. You acknowledge and accept all such risks described in this paragraph and release us completely from all liability that may arise as a result of any one or more of these things occuring. You accept and acknowledge that we will not be responsible for any losses, failures, disruptions, errors, distortions, or delays you may experience when minting, bidding, holding, accepting bids, or otherwise using Zora Protocol however caused.

INTELLECTUAL PROPERTY RIGHTS

For purposes of these Terms: (i) "Content” means text, graphics, images, music, software, audio, video, works of authorship of any kind, and information or other materials that are posted, provided or otherwise made available through the Services; (ii) "User Content” means any Content that users of our Services (including you) make available through the Services; (iii) “Generated Content” means any content you create on our Services using the Creator Toolkit; iv (iii) "Company Content” refers to the Services, our trademarks, logos, branding, and any other Content that we create or generate in connection with the Services, including proprietary rights of every kind and nature however denominated throughout the world, registered or unregistered, associated with such Company Content and the Services (collectively "Company IP”). Except for the license you grant below, you retain all rights in and to your User Content and Generated Content, as between you and us.

Unless otherwise indicated, the zora.co website is Company Content and our proprietary property, and all source code, databases, functionality, software, usernames, website designs, audio, video, text, photographs, and graphics on the Services are owned or controlled by us or licensed to us. You acknowledge that Company IP is protected by copyright, trademark, and other laws of the United States and foreign countries. You agree not to remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Services or Content.

For the avoidance of doubt, we do not have any ownership rights or control over the Zora Protocol. All of the Zora Protocol is completely open source. The Content provided on the zora.co website is provided “AS IS” for your information and personal use only. Except as expressly provided in these Terms, no part of the Services and no Content may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

User and Generated Content

In order to operate and provide our Services, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, copy, distribute, create derivative works of, display, and perform the User Content and Generated Content that you upload, submit, store, send, or receive through our Services. The rights you grant in this license are for the limited purpose of operating, providing, improving, and promoting our Services. For clarity, Zora does not claim any ownership of User or Generated Content and has no right to use User or Generated Content other than in accordance with these terms or otherwise absent your express permission.

You may not create, post, store or share any User Content or Generated Content that violates these Terms or for which you do not have all the rights necessary to grant us the license described above. You represent and warrant that your User Content, your Generated Content, the source and underlying materials used in creating the Generated Content, and our use of such content as permitted by these Terms, will not violate any rights of or cause injury to any person or entity. Although we have no obligation to screen, edit or monitor User Content and Generated Content, we may delete or remove User Content and Generated Content at any time and for any reason with or without notice.

Rights in Content and Services Granted by Zora

Provided that you are eligible to use the Services, and subject to your compliance with these Terms, you are granted a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services. We reserve all rights not expressly granted to you in and to the Services and the Content.

We retain all ownership, title and intellectual property rights in all usernames on the Services. You acknowledge and agree that we may delete, remove or re-assign your username at any time without prior notice or compensation to you.

Each creator or artist that mints Content using the Services and/or Zora Protocol reserves all intellectual property rights in and to such content, unless specifically granted. Any use of User or Generated Content in a manner that violates such intellectual property rights or is not otherwise expressly permitted by these Terms is prohibited.

Reporting Infringement

If you believe that Content residing on or accessible through the Services infringes a copyright, please notify us by mail or e-mail to our Designated Agent:

Please make sure that your message includes the following information:

  • Identification and a description of the Content on the Services that is claimed to be infringing your copyright or the copyright of a third party on whose behalf you are authorized to act, including URLs where such Content can be found;

  • Your full name, address, phone number, and a valid email address at which you can be reached;

  • A statement that you have a good faith belief that use of the material relied upon is not authorized by the copyright owner, its agent, or the law;

  • A statement made under penalty of perjury that the information provided is accurate and the notifying party is authorized to make the complaint on behalf of the copyright owner; and

  • your electronic or autograph signature (which can be a scanned copy).

Upon receipt of a complete and verified infringement notification, it is Zora’s policy to remove or disable access to the infringing Content on the Services and to notify the Content provider or user that access to the Content has been removed or disabled. Repeat infringers will have their Content removed from the Services and Zora will terminate such user’s access to the Services.

If you find content that you believe violates your trademark or any other rights, or otherwise violates these Terms or applicable laws, please notify us by email at support.zora.co.

FEES

We may charge fees for some or part of the Services we make available to you. We reserve the right to change those fees at our discretion with notice. We will disclose the amount of fees we will charge you for the applicable Service at the time that you access the Service.

USER REPRESENTATIONS

By using the Services, you represent and warrant that: (1) you have the legal capacity and you agree to comply with these Terms; (2) you will not use the Services for any illegal or unauthorized purpose; and (3) your use of the Services will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).

PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make the Services available.

As a user of the Services, you agree not to:

  1. Use the Services in a manner inconsistent with any applicable laws or regulations, including using the Services to interact with the Zora Protocol in a manner that is illegal or otherwise prohibited by law or regulation in any jurisdiction, or that is intended to harass, abuse, intimidate or violate the legal rights or privacy of any person.

  2. Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.

  3. Circumvent, disable, or otherwise interfere with security-related features of the Services

  4. Make improper use of our support services or submit false reports of abuse or misconduct.

  5. Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party’s uninterrupted use and enjoyment of the Services or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Services.

  6. Attempt to impersonate another user or person or use the username of another user.

  7. Interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to the Services including denial of service attacks.

  8. Attempt to bypass any measures of the Services designed to prevent or restrict access to the Services, or any portion of the Services.

  9. Make any unauthorized use of the Services, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses.

NO INVESTMENT ADVICE

The Services are not intended to provide legal, tax, investment or insurance advice. Nothing on the Services should be construed as an offer to sell, a solicitation of an offer to buy, or a recommendation for any financial instrument by us or any third party. Certain investment planning tools, case studies, demonstrations, sample scenarios, hypotheticals or similar information available on the Services may provide general investment education based on your input. You are solely responsible for determining whether any investment, investment strategy or related transaction is appropriate for you based on your investment objectives, financial circumstances and risk tolerance. You are solely responsible for determining what, if any, taxes apply to your transactions using the Services. You should consult your legal, investment or tax professional regarding your specific situation. We do not make any representations regarding the benefits or results that you or any third party shall receive from the Services.

CONTRIBUTION LICENSE

You agree that we may access, store, process, and use any information and personal data that you provide following these Terms and the Privacy Policy and your choices (including settings).

By submitting suggestions or other feedback regarding the Services, you agree that we can use and share such feedback for any purpose without compensation to you.

SITE AND CONTENT MANAGEMENT

We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Terms; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms, including without limitation, reporting such user to law enforcement authorities; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof; (4) in our sole discretion and without limitation, notice, or liability, to remove from the Services or otherwise prevent from displaying, all files and content that are illegal or otherwise prohibited by law or regulation in any jurisdiction, or are intended to harass, intimidate or violate the legal rights or privacy of any person; and (5) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.

Notwithstanding the above, we accept no responsibility or liability for our failure to remove or restrict access to any content whatsoever. As a condition of accessing the Services, you accept and agree to view all Content generated by other users.

THIRD PARTY MATERIALS

The Services may contain information from and links to third-party services, applications, or resources (collectively “Third Party Materials”). We provide access to Third Party Materials only as a convenience to you and do not have control over their content, do not warrant or endorse, and are not responsible for the availability or legitimacy of the content, products, or services on or accessible from those Third Party Materials (including any related websites, resources, or links displayed therein). We make no warranties or representations, express or implied, about such Third Party Materials, the third parties they are owned and operated by, the information contained on them, or the suitability of their products and services. Use of any Third Party Materials is subject to any terms and conditions governing the Third Party Materials. You acknowledge sole responsibility for and assume all risk arising from your use of any Third Party Materials.

PRIVACY POLICY

We care about data privacy and security. By using the Services, you agree to be bound by our Privacy Policy , which is incorporated into these Terms. Please be advised the Services are hosted in the United States. If you access the Services from any other region of the world with laws or other requirements governing personal data collection, use, or disclosure that differ from applicable laws in the United States, then through your continued use of the Services, you are transferring your data to the United States, and you agree to have your data transferred to and processed in the United States.

TERM AND TERMINATION

These Terms shall remain in full force and effect while you use the Services.

Without limiting any other provision of these Terms, we reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Services (including blocking certain IP or device addresses), to any person for any reason or for no reason, including without limitation for breach of any representation, warranty, or covenant contained in these Terms or of any applicable law or regulation. We may terminate your use or participation in the Services or delete any content or information that you posted at any time, without warning, in our sole discretion.

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

SERVICE MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Services. We also reserve the right to modify or discontinue all or part of the Services without notice at any time. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services.

We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance of the Services. Nothing in these Terms will be construed to obligate us to maintain and support the Services or to supply any corrections, updates, or releases in connection therewith.

GOVERNING LAW

These Terms and your use of the Services are governed by and construed in accordance with the laws of the State of California applicable to agreements made and to be entirely performed within the State of California, without regard to its conflict of law principles.

DISPUTE RESOLUTION

Binding Arbitration

If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. You understand that without this provision, you would have the right to sue in court and have a jury trial.

The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the AAA website: www.adr.org. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules. If such costs are determined by the arbitrator to be excessive, we will pay all arbitration fees and expenses. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in San Francisco, California. Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.

If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the state and federal courts located in San Francisco, California, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction, and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Terms.

In no event shall any Dispute brought by either Party related in any way to the Services be commenced more than three (3) years after the cause of action arose. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

Restrictions

The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Exceptions to Arbitration

The Parties agree that the following Disputes are not subject to the above provisions concerning binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time, without prior notice.

DISCLAIMER

THE SERVICES IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES’S CONTENT OR THE CONTENT OF ANY WEBSITES LINKED TO THE SERVICES AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS, (2) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES, (3) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (4) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES, (5) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY, AND/OR (6) ANY ERRORS OR OMISSIONS IN ANY CONTENT AND MATERIALS OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES. WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICES, ANY HYPERLINKED WEBSITE, OR ANY WEBSITE OR MOBILE APPLICATION FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND WE WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND ANY THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.

WE ARE NOT LIABLE TO YOU AND TAKE NO RESPONSIBILITY FOR ANY USE OF NFTS OR CONTENT, OR YOUR WALLET, INCLUDING BUT NOT LIMITED TO A) USER ERROR, INCORRECTLY CONSTRUCTED TRANSACTIONS, OR MISTYPED ADDRESSES; (B) SERVER FAILURE OR DATA LOSS; (C) UNAUTHORIZED ACCESS OR USE; (D) ANY UNAUTHORIZED THIRD-PARTY ACTIVITIES, INCLUDING WITHOUT LIMITATION THE USE OF VIRUSES, PHISHING, BRUTEFORCING OR OTHER MEANS OF ATTACK AGAINST THE SERVICE OR NFTS; (E) FLUCTUATIONS IN THE PRICE OF NFTS OR ANY OTHER DIGITAL ASSETS; OR (F) ANY LOSSES OR INJURY DUE TO A VULNERABILITY, FAILURE, OR DEGRADED PERFORMANCE OF SOFTWARE, BLOCKCHAINS, OR ANY OTHER FEATURES OF THE NFTS.

LIMITATIONS OF LIABILITY

INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) use of the Services; (2) breach of these Terms; (3) any breach of your representations and warranties set forth in these Terms; (4) your violation of the rights of a third party, including but not limited to intellectual property rights; or (5) any overt harmful act toward any other user of the Services with whom you connected via the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.

ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

MINTING, BIDDING AND ACCEPTING BIDS

The Site enables you to interact with a set of smart contracts on the Ethereum blockchain (“Zora Protocol”). Zora Protocol enables anyone to mint a non-fungible ERC-721 token that represents a unique piece of media, by embedding both a cryptographic hash of the media and a resource locator for the media into the token, and enables users to place bids on such tokens, and enables the creator of such tokens to choose to accept or decline to accept bids to purchase such tokens and upon payment by the successful bidder transfers ownership of the the token. Our creator toolkit, available at create.zora.co (the “Creator Toolkit”), also allows anyone to create and launch an NFT collection using the Zora Protocol.

The Zora Protocol is an open source protocol which is accessible by anyone. Each token minted on the Zora Protocol exists on the Ethereum blockchain as a cryptographic token that cannot be copied or replicated, and can only be controlled by the person who holds the Ethereum private key that corresponds to the token’s Ethereum address.

You accept and acknowledge that there are risks associated with holding or using the token and using the Ethereum network, including but not limited to, the risk of losing access to your Ethereum address due to loss of private keys, seed words or other credentials, or an unauthorized third party gaining access to same, and the risk of unknown vulnerabilities in the the token smart contract code or the Ethereum network protocol. You agree to take all reasonable steps to protect your wallet credentials including passwords, pin codes, access to your devices for SMS or multi-factor authentication. You acknowledge and accept all such risks described in this paragraph and release us completely from all liability that may arise as a result of any one or more of these things occuring. You accept and acknowledge that we will not be responsible for any losses, failures, disruptions, errors, distortions, or delays you may experience when minting, bidding, holding, accepting bids, or otherwise using Zora Protocol however caused.

INTELLECTUAL PROPERTY RIGHTS

For purposes of these Terms: (i) "Content” means text, graphics, images, music, software, audio, video, works of authorship of any kind, and information or other materials that are posted, provided or otherwise made available through the Services; (ii) "User Content” means any Content that users of our Services (including you) make available through the Services; (iii) “Generated Content” means any content you create on our Site using the Creator Toolkit; iv (iii) "Company Content” refers to the Services, our trademarks, logos, branding, and any other Content that we create or generate in connection with the Services, including proprietary rights of every kind and nature however denominated throughout the world, registered or unregistered, associated with such Company Content and the Services (collectively "Company IP”). Except for the license you grant below, you retain all rights in and to your User Content and Generated Content, as between you and us.

Unless otherwise indicated, the zora.co website is Company Content and our proprietary property, and all source code, databases, functionality, software, usernames, website designs, audio, video, text, photographs, and graphics on the Site are owned or controlled by us or licensed to us. You acknowledge that Company IP is protected by copyright, trademark, and other laws of the United States and foreign countries. You agree not to remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Services or Content.

For the avoidance of doubt, we do not have any ownership rights or control over the Zora Protocol. All of Zora Protocol is completely open source. The Content provided on the zora.co website is provided “AS IS” for your information and personal use only. Except as expressly provided in these Terms, no part of the Site and no Content may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

User and Generated Content

In order to operate and provide our Services, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, copy, distribute, create derivative works of, display, and perform the User Content and Generated Content that you upload, submit, store, send, or receive through our Services. The rights you grant in this license are for the limited purpose of operating, providing, improving, and promoting our Services. For clarity, Zora does not claim any ownership of User or Generated Content and has no right to use User or Generated Content other than in accordance with these terms or otherwise absent your express permission.

You may not create, post, store or share any User Content or Generated Content that violates these Terms or for which you do not have all the rights necessary to grant us the license described above. You represent and warrant that your User Content, your Generated Content, the source and underlying materials used in creating the Generated Content, and our use of such content as permitted by these Terms, will not violate any rights of or cause injury to any person or entity. Although we have no obligation to screen, edit or monitor User Content and Generated Content, we may delete or remove User Content and Generated Content at any time and for any reason with or without notice.

Rights in Content and Services Granted by Zora

Provided that you are eligible to use the Site, and subject to your compliance with these Terms, you are granted a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Site. We reserve all rights not expressly granted to you in and to the Site and the Content.

We retain all ownership, title and intellectual property rights in all usernames on the Site. You acknowledge and agree that we may delete, remove or re-assign your username at any time without prior notice or compensation to you.

Each creator or artist that mints content using the Site and/or Zora Protocol reserves all intellectual property rights in and to such content, unless specifically granted.

FEES

We may charge fees for some or part of the Services we make available to you. We reserve the right to change those fees at our discretion with notice. We will disclose the amount of fees we will charge you for the applicable Service at the time that you access the Service.

USER REPRESENTATIONS

By using the Site, you represent and warrant that: (1) you have the legal capacity and you agree to comply with these Terms; (2) you will not use the Site for any illegal or unauthorized purpose; and (3) your use of the Site will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Site (or any portion thereof).

PROHIBITED ACTIVITIES

You may not access or use the Site for any purpose other than that for which we make the Site available.

DISPUTE RESOLUTION

Binding Arbitration

If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. You understand that without this provision, you would have the right to sue in court and have a jury trial.

The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the AAA website: www.adr.org. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules. If such costs are determined by the arbitrator to be excessive, we will pay all arbitration fees and expenses. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in San Francisco, California. Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.

If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the state and federal courts located in San Francisco, California, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction, and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Terms.

In no event shall any Dispute brought by either Party related in any way to the Site be commenced more than three (3) years after the cause of action arose. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

Restrictions

The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Exceptions to Arbitration

The Parties agree that the following Disputes are not subject to the above provisions concerning binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

MINTING, BIDDING AND ACCEPTING BIDS

The Site enables you to interact with a set of smart contracts on the Ethereum blockchain (“Zora Protocol”). Zora Protocol enable anyone to mint a non-fungible ERC-721 token that represents a unique piece of media, by embedding both a cryptographic hash of the media and a resource locator for the media into the token, and enables users to place bids on such tokens, and enables the creator of such tokens to choose to accept or decline to accept bids to purchase such tokens and upon payment by the successful bidder transfers ownership of the the token.

The Zora Protocol is an open source protocol which is accessible by anyone. Each token minted on the Zora Protocol exists on the Ethereum blockchain as a cryptographic token that cannot be copied or replicated, and can only be controlled by the person who holds the Ethereum private key that corresponds to the token’s Ethereum address.

You accept and acknowledge that there are risks associated with holding or using the token and using the Ethereum network, including but not limited to, the risk of losing access to your Ethereum address due to loss of private keys, seed words or other credentials, or an unauthorized third party gaining access to same, and the risk of unknown vulnerabilities in the the token smart contract code or the Ethereum network protocol. You agree to take all reasonable steps to protect your wallet credentials including passwords, pin codes, access to your devices for SMS or multi-factor authentication. You acknowledge and accept all such risks described in this paragraph and release us completely from all liability that may arise as a result of any one or more of these things occuring. You accept and acknowledge that we will not be responsible for any losses, failures, disruptions, errors, distortions, or delays you may experience when minting, bidding, holding, accepting bids, or otherwise using Zora Protocol however caused.

INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the zora.co website is our proprietary property and all source code, databases, functionality, software, usernames, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) are owned or controlled by us or licensed to us. For the avoidance of doubt, we do not have any ownership rights or control over Zora Protocol or any tokens or content. All of Zora Protocol is completely open source. The Content provided on the zora.co website is provided “AS IS” for your information and personal use only. Except as expressly provided in these Terms, no part of the Site and no Content may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

Provided that you are eligible to use the Site, you are granted a limited license to access and use the Site. We reserve all rights not expressly granted to you in and to the Site and the Content.

We retain all ownership, title and intellectual property rights in all usernames on the Site. You acknowledge and agree that we may delete, remove or re-assign your username at any time without prior notice or compensation to you.

Each creator or artist that mints content using the Site and/or Zora Protocol reserves all intellectual property rights in and to such content, unless specifically granted.

USER REPRESENTATIONS

By using the Site, you represent and warrant that: (1) you have the legal capacity and you agree to comply with these Terms; (2) you will not use the Site for any illegal or unauthorized purpose; and (3) your use of the Site will not violate any applicable law or regulation.

The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in San Francisco, California. Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.

If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the state and federal courts located in San Francisco, California, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction, and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Terms.

In no event shall any Dispute brought by either Party related in any way to the Site be commenced more than three (3) years after the cause of action arose. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

Restrictions

The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Exceptions to Arbitration

The Parties agree that the following Disputes are not subject to the above provisions concerning binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.
