Zora Trader Rewards Challenge - Official Rules

1. CONTEST DESCRIPTION.

The Zora Trader Rewards Challenge (the “Contest”) is sponsored by Zora Labs, Inc. (“Zora”), located at 1209 Orange St., Wilmington, DE 19802.  The Contest begins on September 29, 2025 at 12:00 a.m. UTC and ends on October 12, 2025 at 11:59 p.m. UTC (the “Contest Period”), with two weekly Contest windows:

  • Week 1: Sept 29 – Oct 5, 2025

  • Week 2: Oct 6 – Oct 12, 2025

Participants who meet the Eligibility Requirements (as defined below) will compete on a leaderboard based on trading activity of $ZORA and creator coin pairs during the Contest Period. Final rankings will be determined by objective criteria described below, and prizes will be awarded to the top participants as set forth herein. These Official Rules are in addition to the Zora Terms of Service and Privacy Policy (collectively referred to as “Platform Terms”.) By participating, entrants agree to these Official Rules, which in case of conflict or inconsistency between these Official Rules and the Platform Terms, these Official Rules shall prevail, govern and control with respect to the Contest.  By participating in the Contest, each participant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Zora, which shall be final and binding in all respects.  

 

2. ELIGIBILITY.

To participate in the Contest, each participant must meet the following eligibility requirements (the “Eligibility Requirements”): 

  • Are at least eighteen (18) years old at the time of entry, or the age of majority in their jurisdiction, whichever in higher;

  • Have a valid Zora account in good standing; and

  • Are not subject to U.S. or other applicable government sanctions or restrictions.

Please note that the Contest is not open to participants who are subject to “Sanctions” or to residents of any “Restricted Country” (as each such term is defined below).  As used in these Official Rules “Sanctions” means sanctions imposed by the United States Department of Treasury, Office of Foreign Assets Control (“OFAC”), including any individual on the OFAC SDN List; “Restricted Countries” means Belarus, Cuba, Iran, Libya, North Korea, Russia, Sudan, Somalia, Syria, Venezuela, the West Bank, Yemen, or the Crimea Region of Ukraine or any other country that may be added to OFAC’s embargo list before or during the Contest Period.  Officers, directors, employees and contractors of Zora, and its parent, subsidiary, and affiliate companies, as applicable, involved in the Contest (all such individuals and entities referred to collectively, the “Contest Entities”), and each of their immediate family members and/or people living in the same household are NOT eligible to enter the Contest or win a prize.

Eligibility determinations and all other decisions related to this Contest will be made by Zora in its sole and absolute discretion, unless the law of a particular jurisdiction requires such discretion to be exercised reasonably, in which case such determinations will be made by Zora in its sole but reasonable discretion (whichever standard is applicable based on a participant’s residence, such standard is referred to throughout these Official Rules as “discretion”).  This Contest is void where prohibited by law.

3. HOW TO PARTICIPATE.

To participate, eligible users must engage in qualifying trades during the Contest Period (the “Qualifying Trades”). A Qualifying Trade is defined as follows:

3.1 Eligible Assets: The trade must involve creator coins or content coins deployed through the Zora protocol by featured creators (known as Zora Stars) published in zora.co/explore/zora-stars

3.2 ZORA Pair Requirement: The trade must be executed as part of a ZORA trading pair (i.e., the eligible asset must be paired directly with $ZORA or a creator coin (i.e. $CREATOR) so that ZORA pair can encompass pairs with $ZORA or creator coin. Trades in other pairs (e.g., ETH, USDC, or other currencies) do not qualify, even if the underlying asset is otherwise eligible.

3.3 Zora-Originated Pool Requirement: The trade must occur within a Zora-originated liquidity pool. Trades executed through self-created or third-party liquidity pools that are not Zora-originated do not qualify.

3.4 Automatic Entry: No separate entry form is required. Eligible users are automatically entered into the Contest when they complete a Qualifying Trade.

Qualifying Trades will qualify only if they meet all of the above conditions (Eligible Asset, $ZORA Pair, Zora-Originated Pool).

4. SCORING/LEADERBOARD.

4.1 Final Score Formula.
Each participant’s final ranking on the Contest leaderboard will be determined by a composite score (the “Final Score”) calculated as follows:

Final Score = Eligible Trading Volume (USD) × Creator Supported Multiplier × Buyer Multiplier

4.2 Eligible Trading Volume (USD).
Eligible Trading Volume” means the total U.S. dollar equivalent value of all qualifying trades executed by a participant in $ZORA pairs through Zora-originated pools during the Contest Period. Eligible Trading Volume is calculated based on the USD/$ZORA exchange rate at the time of execution.

4.3 Creator Supported Multiplier.
Participants may increase their Final Score by transacting with a higher number of unique creators during the Contest Period. The applicable multiplier will be assigned according to the following tiered system:

4.4 Buyer Multiplier.
The “Buyer Multiplier” is calculated as:

Buyer Multiplier = 2 - (MIN(Number of Coins Sold , Number of Coins Bought)/Number of Coins Bought)

The Buyer Multiplier is intended to reward participants who demonstrate proportionally more buys than sells during the Contest Period. Zora reserves the right, in its discretion, to apply diminishing returns, caps, or other adjustments to prevent manipulation or excessive score inflation.

4.5 Tie-Breakers.
In the event two or more participants achieve the same Final Score, ranking will be determined in the following order of priority:

  1. Participant with the higher Creator Supported Multiplier;

  2. Participant with the higher Buyer Multiplier;

4.6 Leaderboard Publication.
Leaderboard standings will be updated periodically during the Contest Period and displayed within the Zora platform or app. Final results will be determined after the Contest Period concludes, subject to verification of eligibility and compliance with these Official Rules.

5. PRIZES.

5.1 Total Prize Pool.
The total prize pool for Week 1 of the Contest is $200,000 USD equivalent in $Zora tokens.

5.2 Distribution.

The prize pool and distributions for Week 2 will be determined and published in the updated version of the Official Rules prior to the start of Week 2. The most current version of these Official Rules shall control, and participants are responsible for reviewing the Official Rules for updates. 

5.3 Form of Payment.
Prizes will be displayed in USD on the leaderboard but paid in $ZORA tokens, converted at the Zora/USD exchange rate as published at 23:59 UTC on the final day of the applicable Contest Period.

5.4 Verification and Claiming.
Winners will be notified via their Zora account and/or email and must complete all required verification steps (including submission of tax forms) within fourteen (14) days of notification. Failure to comply will result in forfeiture of the prize, which may then be awarded to the next highest-ranking eligible participant at Zora’s discretion.

5.5 Unclaimed Prizes.
Unclaimed or forfeited prizes may, in Zora’s discretion, be forfeited, re-awarded, or otherwise disposed of in accordance with applicable law.

6. GENERAL PRIZE CONDITIONS.

Except as set forth herein, no cash alternative or substitution of the prizes will be allowed, except Zora reserves the right in its discretion to substitute prizes of comparable value if any prize element listed is unavailable, in whole or in part, for any reason.  Prizes will be awarded only if each winner fully complies with these Official Rules.  All portions of the prize are non-assignable and non-transferable.  In the event of any discrepancy or inconsistency between guidelines, disclosures, or other statements contained in any promotional materials for the Contest and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern, and control.  All details and other restrictions of the prizes not specified in these Official Rules will be determined by Zora in its discretion.  Each winner shall be solely responsible for all federal, state, local, and/or provincial taxes, and the reporting consequences thereof, and for any other fees or costs associated with the prizes.  If required by law, Zora reserves the right to withhold and remit to the appropriate taxing authorities the amount of any tax or taxes due.  Zora will issue and file an IRS Form 1099 or equivalent tax withholding documentation for the retail value of any prize or other items of value transferred to each prize winner by Zora in accordance with United States Internal Revenue Service (IRS) requirements, and Zora may also share such documentation with a state or local government agency as required by law.  Refusal or failure of each prize winner to satisfy the requirements of all necessary and appropriate tax, withholding or other required compliance terms (including Social Security number, IRS Form W­8BEN, IRS Form W­9, or equivalent information), as determined by Zora in its discretion, may result in each prize winner forfeiting the prize(s) and an alternate potential winner may be selected in accordance with these Official Rules.  Zora will award prizes subject to any applicable withholding taxes, and the amount of the prize transferred, as reduced by any applicable withholding taxes, will constitute full payment of the prize, as applicable.  

To the full extent permitted by applicable law, Zora makes no representations or warranties, and hereby disclaims any and all warranties, express or implied, concerning any prize furnished in connection with the Contest.  WITHOUT LIMITING THE GENERALITY OF THE FOREGOING AND TO THE FULL EXTENT PERMITTED BY APPLICABLE LAW, ALL PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND Zora HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.

7. PUBLICITY RELEASE.

By accepting a prize, each winner expressly grants Zora and the Contest Entities the right to use the winner’s name, username, social media handle, photograph, likeness, voice, biographical information, statements, and city and state or province of residence for advertising, marketing, publicity, and promotional purposes related to the Contest or Zora’s business, in any and all forms of media now known or hereafter devised, worldwide and in perpetuity (or for the maximum period permitted by applicable law), without further notice, approval, or compensation (except where prohibited by law).

8. REPRESENTATIONS, WARRANTIES, AND CONDITIONS/ INDEMNIFICATION.

Each participant represents and warrants that: (i) they meet all Eligibility Requirements set forth in these Official Rules; (ii) all trading activity counted toward the Contest is conducted in compliance with these Official Rules, the Platform Terms, and applicable laws and regulations; (iii) they will not engage in any manipulative, deceptive, or abusive trading practices, including but not limited to wash trading, spoofing, or use of multiple accounts to gain an unfair advantage; and (iv) their participation in the Contest will not give rise to any claims against the Contest Entities. Each participant agrees to indemnify and hold the Contest Entities harmless from and against any and all third-party claims, actions, damages, liabilities, costs, and expenses arising out of or related to any breach, or alleged breach, of these representations, warranties, covenants, obligations, or agreements.

9. PRIVACY.

The data controller of each participant’s personal data is Zora. Zora will use the participants’ personal data collected in connection with the Contest (including name, age, image, location, e-mail address, physical address, and domicile of each participant, if and to the extent collected) for the purpose of (i) running the Contest and fulfilling any prizes; (ii) communicating with participants about the Contest; and (iii) complying with applicable laws and regulations.  Zora’s privacy policy is available at https://support.zora.co/en/articles/1369025. Any personal information collected in the Contest will be used in accordance with Zora’s privacy policy.  For residents of the European Union Only:  Please note that your personal data will be transferred outside of the European Union or European Economic Area, to the United States and/or other countries that do not ensure the same level of data protection as your home country.  Such transfers will be made on the basis of specific safeguards and additional measures, as necessary, and for the purposes set out in Zora’s privacy policy. 

10. GENERAL LIABILITY RELEASE/FORCE MAJEURE.

Each participant agrees that, to the extent permitted by applicable law, the Contest Entities: (A) shall not be responsible or liable for, and are hereby released from any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Contest or any Contest-related activity, or from participants’ acceptance, receipt, possession and/or use or misuse of any prize, and (B) have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose.  The Contest Entities assume no responsibility for any damage to any participant’s, or any other person’s, computer system arising from use of the Zora platform or app in connection with the Contest, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature. Without limiting the generality of the foregoing, Zora is not responsible for lost, misdirected, delayed, or undeliverable prize notifications, including due to email filtering, incorrect account settings, or participant failure to maintain updated contact information; or for lost, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information.  Zora reserves the right, in its discretion, to disqualify any individual who is found to be tampering with Qualifying Trades, manipulating the leaderboard, interfering with the operation of the Contest or the Zora platform or app, acting in violation of these Official Rules, or engaging in unsportsmanlike, disruptive, or abusive behavior, and further reserves the right to seek damages and other remedies from any such individual to the fullest extent permitted by law. To the extent permitted by applicable law, Zora reserves the right to modify, extend, suspend, or terminate the Contest if it determines, in its discretion, that the Contest is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond Zora’s control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play and/or feasibility of the Contest as contemplated herein.  In the event Zora is prevented from awarding prizes or continuing with the Contest or by any event beyond its control, including but not limited to fire, flood, earthquake, windstorm, epidemic, pandemic, public health crisis, disease, virus, sickness or outbreak or other similar or dissimilar natural disaster; act of God or public enemy; riot or civil disturbance, act of any government or governmental authority, power failure, satellite or equipment failure, failure of telecommunications lines or failure or breakdown of plant, machinery or vehicles operated by a third party; labor dispute, strike, or lockout; actual or threat of war, armed conflict, terrorist attacks, war (declared, undeclared or threatened), explosion, nuclear, or chemical or biological contamination; or a government imposed travel ban, restriction on movement or gatherings, or other government imposed mandate of any kind, order of any court or jurisdiction, or other cause not reasonably within Zora’s control (each a “Force Majeure” event or occurrence), Zora reserves the right to modify, suspend, or terminate the Contest.  If the Contest is terminated before the designated end date, Zora may, if feasible, determine winners based on all eligible Qualifying Trades recorded in accordance with these Official Rules up to the time of the event giving rise to termination. Only the type and number of prizes described in these Official Rules will be awarded. These Official Rules cannot be modified or amended in any way except in a written document issued in accordance with law by a duly authorized representative of Zora.  The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision.  If any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

For participants in jurisdictions where limitations of liability are restricted by law: For the avoidance of doubt, nothing in these Official Rules shall exclude or limit liability in relation to (i) death or personal injury caused by negligence or willful or reckless misconduct; (ii) any fraud or fraudulent misrepresentation; and (iii) any other liability that cannot, as a matter of law, be limited or excluded.

11. NATURE OF RELATIONSHIP/WAIVER OF EQUITABLE RELIEF.

Each participant hereby acknowledges and agrees that participation in the Contest does not create any confidential, fiduciary, or other special relationship between the participant and the Contest Entities. Each participant further acknowledges and agrees that the Contest Entities do not now and shall not have in the future any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to any trading activity undertaken by participants. Finally, each participant acknowledges that, with respect to any claim relating to or arising out of the Contest, the damage, if any, caused to the participant will not be irreparable or otherwise sufficient to entitle such participant to seek injunctive or other equitable relief or in any way enjoin the operation of the Contest or the Zora platform, and participant’s rights and remedies in any such event shall be strictly limited to the right to recover damages, if any, in an action at law, to the extent permitted by applicable law.

12. DATES AND DEADLINES/ANTICIPATED NUMBER OF PARTICIPANTS.

Because of the unique nature and scope of the Contest, Zora reserves the right, in addition to those other rights reserved herein, to modify any date(s) or deadline(s) set forth in these Official Rules or otherwise governing the Contest. 

13. FURTHER DOCUMENTATION.

If Zora desires to secure additional documents as Zora may reasonably require to evidence or effectuate the rights granted in these Official Rules, then each participant agrees to sign, authenticate, and deliver the same upon Zora’s request therefor.

14. GOVERNING LAW/JURISDICTION.

EXCEPT TO THE EXTENT EXPRESSLY PROHIBITED BY THE LAW OF YOUR JURISDICTION, ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF PARTICIPANTS OR ZORA IN CONNECTION WITH THE CONTEST SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE UNITED STATES OF AMERICA AND THE INTERNAL LAWS OF THE STATE OF DELAWARE, UNITED STATES OF AMERICA WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OF CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S OR JURISDICTION’S LAWS.

15. ARBITRATION PROVISION. 

By participating in this Contest, each participant (and any minor participant’s parent or legal guardian) agrees: (i) that any and all disputes the participant may have with, or claims participant may have against, the Contest Entities relating to, arising out of or connected in any way with (a) the Contest, (b) the awarding or redemption of any prize, and/or (c) the determination of the scope or applicability of this agreement to arbitrate, will be resolved exclusively by final and binding arbitration administered by JAMS and conducted before a sole arbitrator in accordance with the rules of JAMS; (ii) this arbitration agreement is made pursuant to a transaction involving interstate commerce, and shall be governed by the Federal Arbitration Act (“FAA”), 9 U.S.C. §§ 1-16; (iii) the arbitration shall be held in Wilmington, Delaware, or in another location (including virtual proceedings) agreed to by the parties; (iv) the arbitrator’s decision shall be controlled by the terms and conditions of these Official Rules and any of the other agreements referenced herein that the applicable participant may have entered into in connection with the Contest; (v) the arbitrator shall apply Delaware law consistent with the FAA and applicable statutes of limitations, and shall honor claims of privilege recognized at law; (vi) there shall be no authority for any claims to be arbitrated on a class or representative basis, arbitration can decide only participant’s and/or Zora’s individual claims; the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated; (vii) the arbitrator shall not have the power to award punitive damages against the participant or Zora; (viii) if the participant is able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, Zora will pay as much of participant’s filing and hearing fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive; and (ix) with the exception of subpart (vi) above, if any part of this arbitration provision is deemed to be invalid, unenforceable or illegal, or otherwise conflicts with the rules of JAMS, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein.  If, however, subpart (vi) is found to be invalid, unenforceable or illegal, then the entirety of this arbitration provision shall be null and void, and neither participant nor Zora shall be entitled to arbitrate their dispute.  For more information on JAMS and/or the rules of JAMS, visit their website at www.jamsadr.com.

16. WINNERS LIST.

The names of the winners may be published on the Zora platform or app after the end of the Contest Period.  For residents of the European Union and where required by law only: If you object to any or all of your name or country, being published or made available, please contact Zora at support@zora.co.  In such circumstances, Zora may still provide this information to the applicable government authorities or regulators upon request.
